 EP Energy LLC (“EP Energy”), formerly the exploration and production business of El Paso Corporation (“El Paso”), expanded aggressively into unconventional shale plays in the late 2000s, more than doubling reserves and focusing increasingly on oil-directed activity. In 2011, El Paso planned to spin its exploration and production business off to shareholders. Kinder Morgan Inc.’s acquisition of El Paso changed that plan to an outright divesture of the exploration and production business, culminating in EP Energy’s sale to private equity company Apollo Global Management LLC and other private equity investors.
